record date ？？？ CLOSING REGISTER OF MEMBERS OR FIXING RECORD DATE 47. For the purpose of determining Members entitled to notice of or to vote at any meeting of Members or any adjournment thereof, or Members entitled to receive payment of any dividend, or in order to make a determination of Members for any other proper purpose, the Directors of the Company may provide that the register of Members shall be closed for transfers for a stated period in accordance with Article 13 above. If the register of Members shall be so closed for the purpose of determining Members entitled to notice of or to vote at a meeting of Members, such register shall be so closed for at least ten days immediately preceding such meeting and the record date for such determination shall be the date of the closure of the register of Members. 关闭股东名册或确定记录日期 47、为确定有权收到股东会议或其延期的通知或在有权股东会议上表决的“股东”，或有权收到任何股息的“股东”，或在为了任何其它正当目的而需要确定“股东”的情况下，“公司”的“董事”可以规定根据上述第13条将“股东名册”在规定的时期内关闭并停止转让。如果是为了确定有权获得股东会议通知或有权在股东会议上表决的“股东”之目的而关闭“股东名册”，则该名册应在该等股东会议召开之前至少关闭十天。通过该等方法确定的记录日期应为“股东名册”被关闭的日期。 或“在册日期”？？ |
