The Proprietor hereby grants to the Publishers a non-exclusive licence to use those of its trademarks appearing below in the manner set out below in the exercise of the Rights for the Term and the sell off period (if any) following expiry or termination of this Agreement. The Publishers shall ensure that the quality of the reproduction of the Proprietor’s trademarks on the Publishers’ Edition shall not be inferior to that of the Proprietor’s printing of its trademarks and the Proprietor shall be entitled to carry out checks on the Publishers’ Edition at any time to ensure compliance with this paragraph. The Publishers acknowledge that the Proprietor retains all rights of ownership in and to the trademarks. The Publishers agree to execute and deliver to the Proprietor (at the Proprietor’s cost) such documents as the Proprietor may require to register the Publishers as a registered user or permitted user of the trademarks and to follow the Proprietor's instructions for proper use thereof in order that the protection and/or registrations for the trademarks may be obtained or maintained.

2. With regard to the Licensor’s trademarks (“the Trademark” as defined in Schedule 16 hereof ), the following shall apply:

(a) The Proprietor hereby sublicences to the Publishers the non exclusive right:

(i) to use, include and reproduce the Trademark as an integral part of the title of the Publishers’ Edition, but only as permitted under the Licensor’s standards which are attached hereto and

(ii) to use, include and reproduce the Trademark in connection with the marketing, promotion and sale of the Publishers’ Edition, including without limitation on catalogues, advertisements, brochures and point of sale material.

(b) Publishers acknowledge the following:

(i) All uses of the Trademark by the Publishers shall inure to the Licensor's benefit. The Licensor is the exclusive owner of the Trademark and of any trademarks incorporating all or any part of a Trademark and the trademark rights. The Publishers will not register or seek to register any trademark or trade name which is identical to the Trademark or any other mark used by the Licensor which is so similar thereto as to suggest some association with the Licensor.

(ii) The Publishers hereby assign to the Licensor all such rights as the Publishers may at any time acquire in the Trademark and any trademarks incorporating all or any part of a Trademark and the trademark rights created by such uses, together with the goodwill attaching thereto.

(iii) The Publishers agree to execute and deliver to the Licensor (at the Licensor’s reasonable cost) such documents as the Licensor may require to register the Publishers as a registered user or permitted user of the Trademark and to follow the Licensor's instructions for proper use thereof in order that the protection and/or registrations for the Trademark may be obtained or maintained.

3. Publishers may use their own trademarks, and those of the Proprietor on the Publishers’ Edition but only in the form approved by the Designee pursuant to paragraph 8(ii) of Schedule 16 of this Agreement. The Licensor acknowledges that the Publishers retain all rights of ownership in and to the Publishers’ trademarks and trade names used on or in association with the Publishers’ Edition. Further, nothing contained herein is intended to give the Licensor any rights to, and the Licensor shall not use, any trademark owned by the Publishers in connection with the Publishers Edition (with the approval of the Licensor) which is not derived or adapted from Licensed Material, the Trademark or other materials owned by the Licensor.

4. The Publishers acknowledge the vital importance to the Licensor of the Trademark. In order to prevent the denigration of the Licensor's products and the value of their association with the Trademark, the Publishers agree that they will not, nor permit anyone on their behalf to, manufacture, advertise, promote, display, package, sell and/or distribute:

(i) any product (other than the Publishers’ Edition) in such a manner as to imply an association with the Licensor and its proprietary material;

(ii) the Publishers’ Edition in such a manner as to imply an association with the proprietary material of any other entity than the Licensor, the Proprietor and the Publishers.

5. At the Licensor's sole option and in addition to the Trademark being used, the Licensor or Proprietor may require Publishers to add the Johnson & Johnson Signature (the "Signature") to the Publishers’ Edition, in a manner to be approved by the Licensor. In the event of such requirement, the Signature shall be incorporated into the definition of "Trademark" herein and the Publishers shall be given guidelines for use of the Signature. Thereafter the Licensor or Proprietor may require the removal of the Signature from subsequent printings of the Publishers’ Edition that bear the Signature and in that event the "Trademark" as defined in the Agreement shall be construed to exclude the Signature. For avoidance of doubt, any sub-license of the Signature shall be royalty-free. For the further avoidance of doubt the addition or deletion of the Signature at Licensor's or Proprietor’s request, and the reimbursement of costs incurred by the Publishers as a result thereof (if any), shall be governed by the terms of paragraphs 8 and 13 of Schedule 15 of this Agreement, as appropriate.

6. TITLE VERSO

6.1. The Publishers shall ensure that in all copies of the Publishers’ Edition the following notices are printed on the title page or the reverse thereof as per Clause 8.4.

6.2 At the head of the page before any other information: the Dorling Kindersley logo, together with the words "A Dorling Kindersley Book" and on the next line “www.dk.com”;

6.3 The Publishers shall check the above copyright and trademark details against the title page of the UK edition of the Work and make any amendments that may be required in order to ensure that these details match those contained in the UK edition.

6.4 Publishers shall also include such credit lines in the end of the Publishers’ Edition as the Licensor may reasonably require. The Publishers shall comply with such instructions as to form, location and content of the notice as the Licensor may reasonably give from time to time.

6.5 To the extent permitted by laws applicable to the Territory, Publishers shall not, without the Licensor's prior written consent, affix to the Publishers’ Edition or any other matter containing the Licensed Material a copyright notice in any other name, excepting only Proprietor's own copyright notice, that of the author and/or translator of the Work, or the Publishers where the translation is owned by the Publishers, and that of the copyright owners of any images licensed for use in the Work in a form to be agreed between Proprietor and the Licensor.
